Reporting to the
Technical Project Managerthe role of Capex Legal Counselwill provide legal advice and support to the VIPCEM leadership team and Capex project development and execution teamswhich play a central role in VIPCEMs business growth strategy. The in-house contract / commercial counsel works in partnership with wider CRH Group stakeholders including:

- Regional Capex and Procurement
- Group Technical Services (GTS)

In this role you will collaborate, inform and align
with the local and Group functions to identify and address legal issues as they arise on complex Capex projects across all stages — from early development and permitting, through procurement, to project executionwith local and international supply chain.It is expected that you will:

- Input into the contracting strategy definition
- Make clear legal obligations which impact capex projects
- Draft and provide legal support on a wide range of contracts
- Develop and improve conditions of contract (i.e. local and international contracts such as FIDIC), forms, processes, and procedures
- Perform risk analysis of contractual documents and propose effective mitigating solutions where appropriate
- Provide legal support on disputes which may arise
- Provide legal representation in the interest of VIPCEM in all commercial discussions
- Proactively support project development activities, including permitting and regulatory compliance
- Advise project teams on legal risks, obligations, and mitigation strategies throughout the project lifecycle

Key Responsibilities
Contracting and Commercial Agreements

- Take ownership of the drafting process to ensure contracts align with the company’s commercial goals
- Collaborate with local and Group functions to ensure contracts are written clearly so that risks allocations and obligations are understood and appropriate
- Ensure risks (including around local permitting process) which may materialise are highlighted to business leadership teams at earliest stage and advise on legal implications
- Support the preparation, negotiation, and execution of contracts specific to Capex projects such as EPC, design-build, and consultancy agreements
- Ensure that legal reviews are integrated early in the project planning and budgeting process
- Support contract and documentation preparation to reflect proper tax and licensing requirements making clear Parties obligations

Permitting

- Support project teams in identifying all required permits and approvals throughout the project lifecycle
- Advise on the strategy, timing, and risks associated with obtaining development, construction, environmental (EIA), and operational permits
- Coordinate with permitting authorities and external counsel to ensure timely submission and processing of applications
- Monitor regulatory changes impacting permitting and proactively inform relevant stakeholders
- Review and draft permitting documentation from a legal compliance standpoint
- Ensure permits are properly integrated into project schedules and tracked for timely renewals or amendments as needed
- Ensure legal compliance for foreign contractor operations in Ukraine

Stakeholder and Supply Chain Management

- Build and maintain relationships
- Ensure open lines of communication with key stakeholders including local Authorities and Construction Inspectorate
- Select and steer outside counsel as required
- Support local and Group function negotiations in contract finalisation stage
- Provide support to resolve claims and disputes which have arisen in execution phase
- Ensure application and compliance with Group governance procedures
- Liaise with permitting bodies and ensure timely acquisition of all required development and construction permits
- Engage with engineering and procurement to align legal terms with project delivery needs
- Advise on registration, VAT, PE risk, and cross-border tax matters
- Provide support to the Project team in the development, preparation and submission of project documentation to government agencies for funding and incentives, ensuring compliance and accurate records

Mentorship and Team Support

- Mentor and coach the local capex and procurement teams on best practices in contract drafting and risk allocation / mitigation
- Prepare and deliver contract training to local capex and procurement teams to improve confidence in the operation of contracts, making clear VIPCEM obligations
- Collaborate with local capex and procurement teams to ensure contract agreements align with business goals and provide robust legal protection
- Guide project team members on legal obligations and risk management across planning, construction, and commissioning phases

Competencies

- Experience: will have least seven years' post qualification experience working across multiple levels and functions (including executive level) and stakeholders
- Communication skills:has ability to clearly communicate complex legal opinions in a easy to understand manner, with ability to deliver the message effectively, verbally and in writing
- Confidence / Assertiveness:has strong influencing skills with the confidence to deliver challenging messages and defend a position
- Drive for Continuous Improvement:(i) lead and/or provide strategic input on key projects to improve the effectiveness of the legal function and (ii) collaborate with legal and compliance professionals across wider Group to seek opportunities to continuously improve the VIPCEM legal function

The Ideal Candidate

- Clear understanding of UA law and legislation particularly project development,execution and permitting
- Contentious legal experience gained within an international leading law firm or equivalent in-house legal environment
- Experience in drafting contracts clearly and precisely including design and build or infrastructure contracts (experience of international construction contracts such as FIDIC considered a bonus)
- Strong knowledge of local permitting procedures i.e., Planning, Environmental (EIA), Building and Operation Permits Understanding of international contractor tax and licensing obligations in Ukraine (VAT, PE, import/export formalities, registration)
- Ability to negotiate and problem solve
- Confidence in managing multiple files autonomously and ability to work independently, while being able to contribute to cross-functional teams
- Flexible, communicative and adaptable
- Technically strong and exercises good commercial judgment
- Strong interpersonal skills and can rapidly develop close trusting relationships
- Proactive individual with strong attention to detail
- Can sense business priorities / matters requiring urgent attention
- Exceptional written and verbal communication skills
- Excellent knowledge of Microsoft Office
- Fluent in Ukrainian and English
- Ability to occasionally travel as required

The role is wide-ranging, will focus on and include:

- Developing close working relationships as part of a local team
- The opportunity to be involved and work on complex infrastructure projects with local and international supply chains
- Direct contribution to project success through proactive legal support during permitting, contracting, and construction

The Capex Legal Counsel will have dual reporting to the Head of Legal ensuring consistency with company legal standards and compliance requirements, and the Project Manager to ensure alignment with project priorities and timelines
